Terms of Service

1. Agreement to Terms

By downloading, installing, or using the Work Counter mobile application (the "App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.

These Terms constitute a legally binding agreement between you and Beren Software (KvK number: 89646118), located in the Netherlands.

2. Description of Service

Work Counter is a time tracking application that allows users to:

  • Track work hours and time entries
  • Organize time by projects and categories
  • Generate reports and export data
  • Sync data across devices via iCloud (optional)

The App is available in two versions:

  • Free Version: Limited functionality with basic time tracking features
  • Premium Version: Full access to all features through an active subscription

3. Eligibility

The App is available to users of all ages. However, if you are under 18 years of age, you must have permission from a parent or legal guardian to use the App and make purchases.

4. Subscription Plans and Payments

4.1 Subscription Options

We offer the following subscription plans:

  • 1 Month: Monthly subscription with automatic renewal
  • 6 Months: Six-month subscription with automatic renewal
  • 1 Year: Annual subscription with automatic renewal

Pricing varies by country and is displayed in the App Store in your local currency.

4.2 Free Trial

New subscribers may be eligible for a free trial period. If offered, the trial duration will be clearly displayed before you subscribe. You will not be charged during the trial period. If you do not cancel before the trial ends, your subscription will automatically begin and you will be charged.

4.3 Payment and Renewal

  • All payments are processed through the Apple App Store
  • Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current period
  • Your account will be charged for renewal within 24 hours prior to the end of the current period
  • You can manage your subscription and turn off auto-renewal in your Apple ID Account Settings

4.4 Cancellation and Refunds

  • You can cancel your subscription at any time through your Apple ID Account Settings
  • Cancellation takes effect at the end of the current billing period
  • No refunds are provided for partial subscription periods
  • All refund requests must be submitted to Apple through the App Store, as we do not process payments directly
  • Upon cancellation, you will retain access to premium features until the end of your paid period

4.5 Price Changes

We reserve the right to change subscription prices at any time. Price changes will take effect at the start of your next subscription period after the change. We will notify you of price changes in advance.

5. Family Sharing

Work Counter supports Apple's Family Sharing feature. If you subscribe to a premium plan, you may share your subscription with up to 5 family members through your Apple Family Sharing group, subject to Apple's terms and conditions.

Each family member will have their own separate data and cannot access other family members' work data.

6. User Account and Data

6.1 Your Data

  • You retain all ownership rights to the data you create in the App (work hours, projects, notes, etc.)
  • Your data is stored locally on your device
  • If you enable iCloud sync, your data is stored in your personal iCloud account
  • We do not have access to your work data

6.2 Data Backup

  • You are responsible for maintaining backups of your data
  • We recommend enabling iCloud sync or regularly exporting your data
  • We are not liable for any data loss

6.3 Data Deletion

  • You can delete your data at any time by deleting it within the App
  • Uninstalling the App will remove all local data from your device
  • If iCloud sync is enabled, you can delete iCloud data through iOS Settings

7. Acceptable Use

You agree to use the App only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Use the App in any way that violates any applicable law or regulation
  • Attempt to reverse engineer, decompile, or disassemble the App
  • Remove, alter, or obscure any copyright, trademark, or other proprietary notices
  • Use the App to transmit any malicious code or interfere with the App's functionality
  • Attempt to gain unauthorized access to any part of the App or its systems
  • Use automated scripts or bots to interact with the App
  • Resell or redistribute the App or your subscription

8. Intellectual Property Rights

8.1 Our Rights

The App, including its design, features, text, graphics, user interface, and all intellectual property rights therein, are owned by Beren Software and protected by copyright, trademark, and other intellectual property laws.

8.2 License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

  • Download and install the App on devices you own or control
  • Use the App for personal or business time tracking purposes

This license does not include the right to:

  • Modify, copy, or create derivative works of the App
  • Distribute, sell, lease, or sublicense the App

9. Disclaimers and Limitations of Liability

9.1 "As Is" Basis

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9.2 No Guarantee

We do not guarantee that:

  • The App will be error-free, secure, or uninterrupted
  • Defects will be corrected
  • The App will meet your specific requirements
  • Data will not be lost or corrupted

9.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BEREN SOFTWARE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, data, or business opportunities
  • Damage to reputation
  • Personal injury or property damage
  • Any damages arising from your use or inability to use the App

OUR TOTAL LIABILITY FOR ANY CLAIMS UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.

9.4 Time Tracking Accuracy

While we strive for accuracy, we do not guarantee that the App's time tracking is perfectly accurate. You are responsible for verifying the accuracy of your tracked time for billing, payroll, or other purposes.

10. Indemnification

You agree to indemnify, defend, and hold harmless Beren Software, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the App
  • Your violation of these Terms
  • Your violation of any rights of another party

11. Changes to the App

We reserve the right to:

  • Modify, update, or discontinue the App or any features at any time
  • Add or remove features from free or premium versions
  • Perform maintenance that may temporarily interrupt service

We will make reasonable efforts to notify you of significant changes, but we are not obligated to do so.

12. Third-Party Services

The App integrates with third-party services:

  • Apple App Store: For payments and subscriptions
  • Apple iCloud: For optional data syncing
  • RevenueCat: For subscription management
  • TelemetryDeck: For anonymous analytics

Your use of these services is subject to their respective terms and conditions. We are not responsible for third-party services.

13. Termination

13.1 By You

You may stop using the App at any time by:

  • Uninstalling the App from your device
  • Cancelling your subscription through the App Store

13.2 By Us

We may terminate or suspend your access to the App immediately, without notice, if:

  • You violate these Terms
  • We believe termination is necessary to protect our rights or the rights of others
  • Required by law

13.3 Effect of Termination

Upon termination:

  • Your license to use the App will end immediately
  • You must stop using the App and delete it from all devices
  • We are not obligated to provide refunds for unused subscription time
  • Provisions regarding intellectual property, disclaimers, and limitations of liability will survive termination

14. Governing Law and Disputes

14.1 Governing Law

These Terms are governed by the laws of the Netherlands, without regard to conflict of law principles.

14.2 Dispute Resolution

Any disputes arising from these Terms or your use of the App shall be resolved in the courts of the Netherlands.

14.3 European Union Users

If you are a consumer in the European Union, you may also have the right to bring proceedings in your country of residence, and nothing in these Terms affects your statutory rights as a consumer.

15. Miscellaneous

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Beren Software regarding the App.

15.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

15.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

15.5 Language

These Terms are provided in English. In case of translations, the English version shall prevail.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes through:

  • In-app notification
  • Update to the "Last updated" date at the top of this document

Continued use of the App after changes constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the App and cancel your subscription.

18. Apple App Store Requirements

This App is available through the Apple App Store. You acknowledge and agree that:

  • These Terms are between you and Beren Software only, not Apple
  • Apple has no obligation to provide support for the App
  • In case of the App's failure to conform to warranties, you may notify Apple for a refund, and Apple has no other warranty obligation
  • Apple is not responsible for addressing any claims relating to the App
  • Apple is a third-party beneficiary of these Terms and may enforce these Terms against you

Acceptance of Terms

By using Work Counter, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy.
